These Terms & Conditions (“Terms”) govern your access to and use of Veridy.com, the Veridy portal, and other websites, applications, content, and online services operated by Retire-IT, LLC under the Veridy™ or Veridy Verification™ names (collectively, the “Services”).
Please read these Terms carefully. By accessing or using the Services, creating an account, or otherwise indicating your acceptance of these Terms, you agree to be bound by them. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Services.
Veridy™ and Veridy Verification™ are trade names and trademarks of Retire-IT, LLC, an Ohio limited liability company (“Veridy,” “we,” “us,” or “our”).
Retire-IT, LLC is a separate legal entity from Telamon Corporation. Retire-IT, LLC is not owned, controlled, or operated by, and is not a subsidiary of, Telamon Corporation. Telamon Corporation’s use of the trade name “Retire-IT” does not indicate ownership of or control over Retire-IT, LLC, Veridy™, Veridy Verification™, or the Veridy Services.
Telamon Corporation may separately participate in Veridy programs or provide services under agreements with Veridy, but such relationships do not give Telamon Corporation ownership or control of Veridy.
These Terms govern use of the Services.
Certain Veridy services, programs, subscriptions, verification engagements, partner relationships, or other activities may also be governed by a separate written agreement, order, statement of work, subscription agreement, partner agreement, verification agreement, or other contract (“Service Agreement”).
If there is a conflict between these Terms and an applicable Service Agreement, the Service Agreement controls with respect to the subject matter of that agreement.
Nothing on the Veridy website modifies an existing Service Agreement unless expressly agreed to in writing by the parties.
Veridy provides independent verification, reconciliation, reporting, and related services designed to improve accountability and transparency in IT asset disposition and other disposition activities.
Depending on the applicable engagement, Veridy may compare an expected population of assets, records, or other information against documentation, evidence, or results provided by clients, service providers, processors, logistics providers, or other parties.
Verification is intended to provide an independent assessment of whether the information and evidence made available to Veridy reconcile according to the procedures applicable to the engagement.
A Veridy verification, report, certificate, status, finding, reconciliation, or other output reflects the information and evidence available to Veridy and the procedures performed at the time of the engagement.
Unless expressly stated in an applicable Service Agreement, Veridy does not independently inspect, possess, transport, process, erase, destroy, recycle, remarket, or dispose of the assets being verified.
Verification does not guarantee that:
Veridy verification is an additional accountability control. It does not replace an organization’s own governance, security, compliance, risk-management, vendor-management, or legal responsibilities.
The quality of a verification depends in part on the quality and completeness of the information and evidence made available to Veridy.
You are responsible for providing information that is accurate and complete to the best of your knowledge and for having the authority to provide that information to Veridy.
Veridy may identify discrepancies, exceptions, missing documentation, unexplained differences, or other conditions requiring clarification. The existence of an exception does not necessarily establish wrongdoing, and the absence of an identified exception does not establish that no loss, error, misconduct, or other event occurred.
Veridy may request additional documentation or explanation before completing a verification.
Veridy may decline to issue, qualify, suspend, revise, or withdraw a verification, report, certificate, designation, or other finding when Veridy reasonably determines that available information is insufficient, inconsistent, unreliable, materially incomplete, or otherwise prevents Veridy from reaching the applicable conclusion.
The value of independent verification depends upon the integrity of the verification process.
Users may not knowingly interfere with, manipulate, circumvent, compromise, or misrepresent a Veridy verification process.
Without limiting the foregoing, users may not knowingly:
Veridy reserves the right to suspend or terminate access to the Services and to withdraw affected reports, certificates, verification results, or designations when the integrity of the verification process has been materially compromised.
Veridy may establish partner programs, readiness programs, authorization levels, verification statuses, or other designations.
Terms such as Veridy Partner, Verification-Ready, Veridy Authorized Verification Partner, and similar Veridy designations have only the meaning assigned to them by Veridy.
A designation does not imply ownership, corporate affiliation, agency, joint venture, certification, endorsement, or authority to act on behalf of Veridy except to the extent expressly stated in an applicable written agreement.
Participation in a Veridy program does not by itself authorize a participant to conduct independent verification on behalf of Veridy.
No person or organization may represent itself as “Veridy Authorized,” a “Veridy Authorized Verification Partner,” or use another Veridy designation unless Veridy has expressly granted that designation in writing and the authorization remains current.
Rights to use Veridy designations, logos, badges, certificates, or other program marks automatically end when the applicable authorization expires, is suspended, or is terminated.
Additional requirements governing a particular designation may be contained in the applicable Service Agreement.
Certain Services may require an account.
You agree to provide accurate registration information and to keep account information reasonably current.
You are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account. You may not share credentials with unauthorized persons or permit unauthorized access to the Services.
You must promptly notify Veridy if you become aware of unauthorized access to your account or another suspected security incident involving the Services.
Veridy may suspend or restrict an account when reasonably necessary to protect the security or integrity of the Services, protect confidential information, investigate suspected misuse, or enforce these Terms.
You may use the Services only for lawful purposes and in accordance with these Terms and any applicable Service Agreement.
You may not:
Information submitted through the Services may include asset inventories, serial numbers, disposition records, documentation, reports, explanations, photographs, or other business information (“Client Data”).
As between you and Veridy, you retain your rights in Client Data that you or your organization provide.
You grant Veridy the limited right to receive, store, process, analyze, reproduce, and otherwise use Client Data as reasonably necessary to provide, secure, administer, improve, document, and support the Services; perform applicable verification activities; comply with legal obligations; and enforce applicable agreements.
Veridy will handle Client Data in accordance with applicable contractual obligations and its Privacy Policy.
Unless authorized by the applicable client, required to provide the Services, or required by law, Veridy will not intentionally disclose client-specific confidential information to unrelated third parties.
Nothing in these Terms changes any more specific confidentiality obligations contained in an applicable Service Agreement.
Use of the Services is also subject to the Veridy Privacy Policy, as updated from time to time.
The Privacy Policy describes how Veridy collects, uses, maintains, and discloses personal information associated with use of the Services.
The Services and their content, features, functionality, methodologies, designs, text, graphics, logos, software, reports, forms, templates, documentation, and other materials provided by Veridy are owned by or licensed to Retire-IT, LLC and are protected by applicable intellectual-property laws.
Except for the limited rights expressly granted in these Terms or an applicable Service Agreement, no rights are granted to Veridy intellectual property.
You may use materials provided through the Services for your organization’s legitimate internal business purposes and for other purposes expressly authorized by Veridy.
You may not reproduce, distribute, sell, license, publish, modify, create derivative works from, or commercially exploit Veridy proprietary materials except as expressly authorized in writing.
Veridy™, Veridy Verification™, and associated names, logos, designs, slogans, program names, badges, and other brand identifiers are trademarks, service marks, trade names, or other proprietary identifiers of Retire-IT, LLC.
Nothing in these Terms grants a general license to use any Veridy mark.
Any permitted use of Veridy marks must comply with the applicable Service Agreement, program requirements, and brand guidelines.
Unauthorized or misleading use of a Veridy mark or designation is prohibited.
Veridy reports, certificates, reconciliation results, letters, findings, and other verification materials may be used for the legitimate business, audit, compliance, risk-management, insurance, legal, or recordkeeping purposes of the organization for which they were prepared, subject to any restrictions in an applicable Service Agreement.
Such materials must be considered in their complete context.
No person may materially alter a Veridy report, certificate, or verification result and present the altered document as having been issued by Veridy.
A Veridy report or certificate speaks only as of the date stated in the document and based upon the scope, procedures, information, and evidence applicable to that engagement.
Information provided through the Services is intended for business and informational purposes.
Veridy does not provide legal, accounting, tax, insurance, cybersecurity, environmental, regulatory, or other professional advice through the website or by issuing a verification result.
Organizations remain responsible for determining their own legal, regulatory, contractual, security, environmental, accounting, and risk-management obligations and should consult appropriate professional advisers when necessary.
The Services may contain information supplied by third parties or links to third-party websites, platforms, processors, service providers, or other resources.
Veridy does not control third-party websites or services and is not responsible for their availability, content, security, privacy practices, or performance.
A link, reference, integration, or other connection to a third party does not by itself constitute Veridy’s endorsement of that third party.
Veridy may modify, improve, suspend, or discontinue portions of the Services from time to time.
We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.
Veridy may correct errors or inaccuracies in information, descriptions, fees, or other materials and may cancel or modify a transaction affected by a material error, subject to any applicable Service Agreement.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
EXCEPT FOR WARRANTIES EXPRESSLY PROVIDED IN AN APPLICABLE SERVICE AGREEMENT, VERIDY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.
VERIDY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE FROM HARMFUL COMPONENTS.
Nothing in this section limits any warranty or obligation that cannot lawfully be excluded.
TO THE FULLEST EXTENT PERMITTED BY LAW, RETIRE-IT, LLC, DOING BUSINESS AS VERIDY AND VERIDY VERIFICATION, AND ITS OFFICERS, EMPLOYEES, AGENTS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO USE OF THE SERVICES.
EXCEPT AS OTHERWISE EXPRESSLY PROVIDED IN AN APPLICABLE SERVICE AGREEMENT, VERIDY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT PAID TO VERIDY BY THE CLAIMANT FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
If no amount was paid for the applicable Services, Veridy’s aggregate liability will not exceed $500.
The limitations in this section apply to the fullest extent permitted by applicable law.
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Retire-IT, LLC, doing business as Veridy and Veridy Verification, and its officers, employees, agents, and representatives from claims, losses, liabilities, damages, costs, and reasonable attorneys’ fees arising from or relating to:
This section does not require you to indemnify Veridy for Veridy’s own negligence, willful misconduct, or violation of law.
Veridy may suspend or terminate access to the Services if a user materially violates these Terms, threatens the security or integrity of the Services, misuses Veridy intellectual property or designations, fails to pay amounts when due under an applicable agreement, or engages in conduct reasonably likely to compromise a Veridy verification or harm another user.
Where reasonably practicable, Veridy may provide notice and an opportunity to cure before termination.
Termination of portal access does not eliminate obligations that accrued before termination.
Sections that by their nature should survive termination—including provisions concerning intellectual property, confidentiality, verification limitations, disclaimers, limitation of liability, indemnification, and dispute provisions—will survive.
Veridy may update these Terms from time to time.
When we make material changes, we will update the “Last Updated” date and provide additional notice when required by applicable law or an applicable Service Agreement.
Changes will apply prospectively from their effective date. Continued use of the Services after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.
By using the Services, you consent to receive communications relating to the Services electronically, including through email, the portal, or notices posted through the Services, subject to applicable law.
Electronic communications may satisfy requirements that communications be provided in writing to the extent permitted by applicable law.
These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-law principles.
Except where applicable law requires otherwise or an applicable Service Agreement provides otherwise, any legal action arising out of or relating to these Terms or the Services shall be brought exclusively in the state courts located in Franklin County, Ohio, or the United States District Court having jurisdiction over Franklin County, Ohio, and each party consents to the jurisdiction of those courts.
These Terms, together with the Privacy Policy and any applicable Service Agreement, constitute the applicable agreement between you and Veridy concerning use of the Services.
If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
Veridy’s failure to enforce a provision is not a waiver of its right to enforce that provision later.
You may not assign your rights or obligations under these Terms without Veridy’s prior written consent. Veridy may assign these Terms in connection with a merger, reorganization, sale of assets, change of control, or other lawful business transaction.
Nothing in these Terms creates a partnership, joint venture, employment, franchise, fiduciary, or agency relationship between you and Veridy.
